Terms of Service — LocksMyFiles

1. Acceptance of Terms

By accessing or using LocksMyFiles ("the Platform", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and the owners of LocksMyFiles,ShieldMyShop .

2. Description of Service

LocksMyFiles is a file delivery and access control platform that enables freelancers ("Freelancers") to share files securely with their clients ("Clients") through a payment-proof verification system.

LocksMyFiles is not a payment processor.

We do not process, hold, transfer, or facilitate any financial transactions between Freelancers and Clients. All payments occur directly between parties through methods they independently agree upon (e.g., bank transfer, PayPal, Wise, or any other method). LocksMyFiles solely controls access to files based on the submission of payment proof and the decisions made by the parties and, where applicable, by LocksMyFiles staff.

3. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. User Accounts

4.1 Freelancer Accounts

Freelancers must register for an account to upload files, create delivery links, and manage deliveries. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

4.2 Client Access

Clients do not need to register for an account. Clients access deliveries via unique links shared by Freelancers. Clients are bound by these Terms when they access any delivery link on the Platform.

4.3 Accuracy of Information

You agree to provide accurate, current, and complete information. You must not impersonate any person or entity or misrepresent your identity or affiliation.

5. Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. The Platform is intended solely for legitimate business file delivery between Freelancers and their Clients.

6. Prohibited Conduct

You must not use the Platform to upload, share, link to, or facilitate access to any content or transactions that:

Violate any applicable local, national, or international law or regulation;
Involve, facilitate, or promote illegal goods or services, including but not limited to controlled substances, weapons, counterfeit goods, or stolen property;
Constitute fraud, money laundering, or any other financial crime;
Infringe upon the intellectual property rights of any third party;
Contain malware, viruses, or any harmful code;
Involve child sexual abuse material (CSAM) or any sexually explicit content involving minors;
Constitute harassment, abuse, defamation, or hate speech toward any individual or group;
Violate the privacy or data protection rights of any person;
Facilitate any form of human trafficking or exploitation;
Misrepresent the nature, origin, or ownership of files uploaded to the Platform.

We reserve the right to remove any content, suspend any account, and report any activity to law enforcement authorities at our sole discretion if we determine, or reasonably suspect, that such activity violates these Terms or applicable law.

7. Limitation of Liability for Third-Party Transactions

7.1 No Involvement in Payments

LocksMyFiles does not participate in, process, monitor, or guarantee any payments made between Freelancers and Clients. All financial transactions are conducted entirely outside of our Platform and are solely the responsibility of the parties involved.

7.2 No Liability for Payment Disputes Outside the Platform

LocksMyFiles is not liable for any losses, damages, or claims arising from failed, reversed, or fraudulent payments made outside the Platform; disputes regarding the amount, method, or completion of any payment; any financial fraud, scam, or illegal transaction conducted between users; or any misuse of payment proof submitted through the Platform.

7.3 Illegal or Unauthorized Transactions

LocksMyFiles expressly disclaims all liability for any illegal transactions, fraudulent activity, or misuse of the Platform by its users. Upon becoming aware of any such activity, we reserve the right to take all necessary action, including account suspension, content removal, and reporting to the relevant authorities.

7.4 No Warranty of Accuracy of Payment Proof

LocksMyFiles does not verify, authenticate, or guarantee the authenticity or accuracy of any payment proof submitted by Clients. We are not responsible for fraudulent or falsified payment proof submitted by any party.

8. LocksMyFiles Dispute Resolution Authority

8.1 Platform Dispute Service

In cases where a Freelancer and Client cannot resolve a dispute through direct communication, either party may request LocksMyFiles's dispute resolution service. LocksMyFiles offers this as a courtesy service and does not guarantee a particular outcome.

8.2 Access to Data and Files

By using this Platform, all users expressly acknowledge and consent that LocksMyFiles staff may, at their sole discretion, access, review, and inspect any file uploaded to the Platform; access and review any metadata, transaction records, payment proof submissions, delivery logs, and any other data associated with a delivery; and retain copies of any data for the purpose of dispute resolution, fraud prevention, or compliance with legal obligations.

8.3 Right to Grant File Access

In the event of a dispute, LocksMyFiles reserves the absolute right to release locked files to the Client without the consent or approval of the Freelancer where we determine the Client has provided credible evidence of payment, the Freelancer has failed to respond within a reasonable timeframe, or we have reason to believe the Freelancer is acting in bad faith. Similarly, LocksMyFiles reserves the right to deny file access to the Client if the payment proof appears fabricated or unreliable.

8.4 Judgment Standard

LocksMyFiles's dispute resolution decisions are made based on the totality of available evidence. Our decisions are final and binding within the scope of Platform access control. We are not a court of law, and our decisions do not constitute legal findings. LocksMyFiles shall not be liable to any party for any decision made in good faith during dispute resolution.

8.5 No Obligation to Resolve

LocksMyFiles is under no obligation to intervene in any dispute and may decline to do so at our discretion. We are not a mediator, arbitrator, or legal authority.

9. Privacy and Data Access

9.1 Data Access by LocksMyFiles

By uploading files or using any feature of the Platform, you expressly consent to LocksMyFiles accessing your data, including files uploaded to the Platform, delivery records and activity logs, payment proof submitted through the Platform, and account and usage data. Such access may occur for dispute resolution, fraud detection, compliance with applicable law, platform security, and improving the Platform.

9.2 Confidentiality

LocksMyFiles will not share your files or personal data with third parties except as required by law, as necessary to resolve a dispute, or as described in our Privacy Policy.

10. Intellectual Property

10.1 Your Content

You retain ownership of all files and content you upload to the Platform. By uploading content, you grant LocksMyFiles a limited, non-exclusive, royalty-free license to store, process, and display your content solely as necessary to provide the Service, including for dispute resolution purposes.

10.2 Platform Ownership

All rights in the Platform, including its design, code, features, and branding, are owned by LocksMyFiles. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

11. Subscription Plans and Billing

11.1 Free and Paid Plans

LocksMyFiles offers a Free plan and paid subscription plans (Pro and Business). Features available under each plan are as described on our Pricing page, subject to change with reasonable notice.

11.2 Payment

Paid subscriptions are billed through our payment processor, Paddle. By subscribing, you agree to Paddle's terms and conditions in addition to these Terms.

11.3 Refunds

All subscription purchases are handled by Paddle as our merchant of record and are subject to Paddle's Refund Policy. Refund requests must be submitted within 14 days of the original transaction date. Refunds are issued at Paddle's sole discretion and are not guaranteed. Where applicable local consumer protection laws grant statutory withdrawal rights, those rights apply. To request a refund, visit paddle.net.

11.4 Plan Enforcement

LocksMyFiles reserves the right to enforce plan limitations (e.g., delivery caps, storage limits) and to upgrade, downgrade, or suspend accounts that exceed their plan allowances.

12. Auto-Release Policy

Deliveries on the Platform are subject to an automatic file release after 48 hours if the Freelancer has not taken action following a Client's payment proof submission. This feature is designed to protect Clients from unresponsive Freelancers. Freelancers acknowledge and accept this policy by using the Platform.

13. Account Suspension and Termination

13.1 By LocksMyFiles

We reserve the right to suspend or terminate any account, at any time, with or without notice, for violation of these Terms, engagement in fraudulent or illegal activity, requests from law enforcement, extended inactivity, or any other reason at our sole discretion.

13.2 By the User

You may close your account at any time through your account settings. Upon closure, your files may be retained for a reasonable period for legal and compliance purposes before permanent deletion.

13.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We are not liable for any loss of data or access resulting from account termination.

14. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LOCKMYFILE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT; WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; AND WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCKMYFILE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR FILES; DAMAGES RESULTING FROM OUR DISPUTE RESOLUTION DECISIONS; OR DAMAGES RESULTING FROM THIRD-PARTY PAYMENT FRAUD OR FAILURES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

16. Indemnification

You agree to indemnify, defend, and hold harmless LocksMyFiles and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, your violation of any law or the rights of any third party, any content you upload to the Platform, or any transaction or dispute between you and another user of the Platform.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts.

18. Changes to These Terms

We may update these Terms at any time. We will notify registered Freelancers of material changes via email or platform notification. Your continued use of the Platform after such notice constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
